Terms of Service

(a) AutoCloser publishes or makes available on the Platform information, advertisements, vehicle listings, AI-generated responses, products and services, and other content supplied by AutoCloser and third parties (“Material”).

(b) To the extent permitted by law, AutoCloser does not warrant or endorse the accuracy or completeness of the Material, or any information received as a result of using the Platform (including via links to third party websites). You are responsible for assessing the accuracy of the Material and any such information, and you rely on it at your own risk.

(c) Unless expressly stated by AutoCloser, and to the extent permitted by law, AutoCloser does not provide any warranty in relation to any goods or services advertised for sale on the Platform by third parties, including any representation that the goods are of merchantable quality, fit for purpose, as described by the seller, or owned by the seller free from encumbrances.

(a) Unless you have entered into separate commercial terms with AutoCloser, use of the Platform is for your personal and non-commercial use only. Without AutoCloser's prior written approval, you must not:

• Modify, copy, distribute, transmit, display, reproduce, publish or licence any Material;
• Use any Material to create any website, publication or searchable database;
• Mirror or frame any content from the AutoCloser Platform;
• Use any automated process to query, scrape, data-mine or copy any Material;
• Publish, transfer or sell any Material or functionality derived from the Platform; or
• Undertake any action in violation of these Terms or in breach of any applicable law.

(b) If AutoCloser reasonably considers that you have acted contrary to these Terms, AutoCloser may immediately terminate your access to the Platform and take any action it deems reasonably necessary to prevent repeated breach.

(a) Material made available on the Platform is provided as general information only. It is not professional or expert advice and must not be treated as such. The Material may not be appropriate, accurate or sufficient for your circumstances and should not be relied upon as the sole basis for any decision.

(b) You indemnify AutoCloser against any liability, loss, claim or demand arising from a breach by you of these Terms, except to the extent such loss or damage is caused by AutoCloser's own acts or omissions.

(c) You must keep your account username and password secure and confidential. You accept all liability relating to any unauthorised use of your account credentials where such unauthorised use is not due to a fault of AutoCloser.

(a) Where goods and services are offered on the Platform by third-party sellers, to the extent permitted by law:

• Vehicle prices often exclude on-road costs, government and statutory charges — always confirm with the seller;
• You are responsible for making all relevant searches, enquiries and investigations in relation to the goods or services, including searching any written-off vehicle register or register of security interests (including the Personal Property Securities Register);
• AutoCloser does not act as any person's agent or broker, arrange any contract between you and any person, or provide any warranty in relation to any person's goods or services (unless specifically stated); and
• AutoCloser will not be responsible for the terms of any transaction between you and a seller, or for resolving any dispute between you and a seller.

(b) AutoCloser may supplement information supplied by sellers (for example, by suggesting vehicle features based on make, model and series). This information relies upon the seller accurately identifying their vehicle and on data provided by third parties. AutoCloser strongly recommends that you independently verify all information contained in a listing with the seller before making any purchase.

(c) All listing content — including but not limited to vehicle descriptions, odometer readings, condition disclosures, accident history, service history, finance status, and any other details — is entered solely by the seller. AutoCloser does not verify, and is unable to verify, the truth or accuracy of any information provided by a seller. AutoCloser makes no representation that any listing is accurate, complete or not misleading. To the full extent permitted by law, AutoCloser is not liable for any loss, damage or expense suffered by any person as a result of a seller providing false, misleading or inaccurate information in a listing, whether intentionally or otherwise. Buyers are strongly encouraged to conduct their own independent due diligence — including but not limited to physical inspections, independent valuations, and searches of relevant registers (such as the Personal Property Securities Register) — before entering into any transaction.

(a) To the full extent permitted by law, all implied guarantees and warranties in respect of any goods or services provided by AutoCloser are excluded. Nothing in these Terms is intended to exclude, restrict or modify any right or remedy conferred by the Australian Consumer Law that cannot lawfully be excluded.

(b) To the full extent permitted by law, any liability of AutoCloser arising from a guarantee, right or contractual term that cannot be excluded is limited to the greater of (i) the fees paid by you to AutoCloser for the relevant goods or services, or (ii) $100 AUD.

(c) To the full extent permitted by law, AutoCloser will not be liable for any indirect or consequential loss or damage, including loss of use, profit, revenue, business, data or anticipated savings.

(d) For the purposes of this clause, “AutoCloser” includes its officers, employees, contractors and agents, whether individually or collectively.

(a) AutoCloser offers features powered by artificial intelligence (AI), including but not limited to AI-powered auto-reply chatbots, automated buyer responses, listing suggestions and other automated tools. By using these AI-powered services, you acknowledge and agree that:

• You are solely responsible for evaluating the appropriateness and accuracy of any AI-generated output before acting on it;
• AI-generated responses may be inaccurate, incomplete, misleading, or not reflective of current information — you should not rely on them without independent verification;
• AutoCloser has not manually reviewed each output produced by its AI-powered services;
• AutoCloser does not guarantee the accuracy, completeness, reliability or fitness for purpose of any AI-generated content; and
• To the extent permitted by law, AutoCloser expressly disclaims all liability for any loss, damage, claim or expense arising directly or indirectly from your use of, or reliance on, any AI-generated content or automated response produced by the AutoCloser Platform.

(b) AutoCloser is not liable for anything the AI says or does. Any statements, representations, advice or information generated by AutoCloser's AI tools are not endorsed by AutoCloser and do not constitute advice of any kind. Buyers and sellers should independently verify all information before making any decisions or entering into any transaction.

(c) Sellers who enable AI auto-reply functionality on their listings are responsible for reviewing the AI's responses to ensure they are accurate and not misleading. AutoCloser accepts no responsibility for incorrect, misleading or harmful responses sent to buyers via the AI auto-reply system.

(d) AutoCloser's AI tools may be powered by third-party AI providers. Your use of such tools may be subject to additional third-party terms, policies and privacy notices, which will be made available to you where applicable.

(a) AutoCloser may provide you with the ability to communicate with sellers, buyers and other users through messaging services, online enquiry forms and other communications tools (“Communications Services”).

(b) Use of the Communications Services is provided on condition that you do not:

• Transmit any information or material that is incorrect, misleading or deceptive;
• Transmit any racist, sexist, defamatory, obscene, abusive or unlawful material;
• Use the Communications Services for any unlawful purpose;
• Upload files containing viruses, malware or other harmful software; or
• Harass, threaten or intimidate any other user of the Platform.

(c) AutoCloser may, acting reasonably, delete, edit, refuse to post or remove any material uploaded using the Communications Services, and may suspend or terminate the access of any person in breach of these Terms.

(a) Material on the AutoCloser Platform is protected by copyright and intellectual property laws. All rights not expressly granted under these Terms are reserved by AutoCloser.

(b) You may only copy or reproduce Material for personal, private or research use, provided such use constitutes fair use under the Copyright Act 1968 (Cth). You must not alter or modify any Material or remove any legal notice associated with it.

(c) By posting, uploading or transmitting any content via the AutoCloser Platform, you grant AutoCloser a non-exclusive, royalty-free, perpetual, irrevocable licence to use, reproduce, modify and publish that content for the purposes of operating and improving the Platform. You warrant that you have all necessary rights in the content you contribute and that it does not infringe any law or third-party rights.

(a) By creating an account, you agree to provide accurate and current information and to keep your account details up to date.

(b) By creating an account, you agree to receive electronic communications from AutoCloser about its products and services. You may opt out of marketing communications at any time via your account settings.

(c) You are responsible for all activity that occurs under your account. If you believe your account has been compromised, you must notify us immediately.

By using the AutoCloser Platform, you agree to the AutoCloser Privacy Policy, which sets out how we collect, use and disclose your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of that state for the resolution of any disputes arising out of or in connection with these Terms.

(a) AutoCloser may modify or amend these Terms from time to time. Modifications take effect once displayed on the Platform and will apply to your use of the Platform after that date. Continued use of the Platform following any such modification constitutes your acceptance of the updated Terms.

(b) AutoCloser may, acting reasonably, cease to provide you with access to the Platform or any of its services at any time and without notice.

(c) All rights not expressly granted under these Terms are reserved.
